By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use our services.

Imagination 2 Software ("I2S") provides custom software development, AI automation, digital marketing, and related services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Project Agreement or Statement of Work ("SOW") signed by both parties.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

All project work begins only after a written SOW and initial payment are received. Any changes to scope after project commencement must be agreed upon in writing and may result in revised timelines and additional costs.

We are not responsible for delays caused by the client's failure to provide required materials, feedback, or approvals in a timely manner.

Our standard payment structure is:

• 50% upfront before work begins • 25% at project midpoint • 25% upon final delivery

All payments are due within 7 days of invoice. Late payments beyond 14 days may result in work being paused. We reserve the right to charge a late fee of 2% per month on overdue amounts. All prices are exclusive of applicable taxes unless stated otherwise.

Upon receipt of full payment, the client receives full ownership of the custom code, designs, and deliverables produced specifically for their project.

I2S retains ownership of any pre-existing tools, frameworks, libraries, and proprietary methodologies used in the development process. We also reserve the right to display the completed project in our portfolio unless the client requests otherwise in writing.

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, technical specifications, pricing, and client data. This obligation continues for 2 years following project completion.

We will never share your data or project details with third parties without your written consent.

We warrant that our services will be performed with reasonable skill and care. We provide a 30-day bug-fix warranty on delivered work, covering defects in code that prevent agreed functionality from working as specified.

We do not warrant specific business outcomes, revenue growth, search rankings, or user engagement results. Digital marketing results depend on many external factors outside our control.

To the fullest extent permitted by law, I2S's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Either party may terminate a project engagement with 14 days' written notice. In the event of termination:

• The client pays for all work completed up to the termination date • Any advance payments for unperformed work will be refunded on a pro-rata basis • All deliverables completed and paid for will be transferred to the client

I2S may immediately terminate an engagement if the client acts fraudulently, abusively, or in breach of these terms.

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of India.

Before pursuing legal action, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

We reserve the right to update these Terms & Conditions at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of our services after changes take effect constitutes acceptance of the new terms.
